Client Service Agreement – Sustain Specialists

This Client Service Agreement (“Agreement”) governs the provision of consultancy services by RFK Professional Services Ltd trading as Sustain Specialists (“we”, “us”, “our”) to the client (“you”, “your”). By placing an order, making payment, or accessing our services, you confirm that you have read, understood and agreed to be bound by this Agreement.
1. Definitions and Interpretation
“Client” means the business entity purchasing services.
“Services” means the consultancy and reporting services described on our website.
“Platform” means the Sustain Specialists client portal.
“Disclosure Form” means the information submitted by the Client for report generation.
“Report” means any carbon, sustainability or related disclosure output produced by us.
2. Scope of Services
We provide consultancy services including automated carbon reporting, sustainability and environmental reporting, narrative disclosures aligned with TCFD and IFRS S1 and S2, expert review where applicable, policy document development and related sustainability consultancy services.
3. Service Delivery Model
Services operate using a hybrid model of automated processing and expert professional review where applicable. Delivery timelines commence only after full payment and submission of the Disclosure Form.
4. Client Obligations
You confirm that all information submitted is accurate, complete and authorised. We are not responsible for errors arising from incorrect or incomplete data.
5. Automated Reporting Disclaimer
Reports are generated using automated systems based on client-provided information and do not constitute independent validation.
6. Expert Review Disclaimer
Where expert review is included, such review represents professional judgement only and does not constitute audit, verification or assurance of any kind.
7. No Certification or Guarantee
We do not guarantee regulatory compliance, tender success, contract awards or third-party approval.
8. Use of Reports
Clients may edit, reproduce and share reports externally for business purposes. Reports may not be resold or represented as independently verified.
9. Fees and Payment
All fees are payable in full prior to service delivery and processed via Stripe. Access is granted for twelve months unless otherwise stated.
10. Refund Policy
Refunds are available only before submission of the Disclosure Form. Once submitted, no refunds apply.
11. Revisions and Updates
Clients may request updates during the access period subject to reasonable use.
12. Term and Access Period
Platform access is provided for twelve months from purchase date.
13. Intellectual Property
All methodologies, systems and templates remain our intellectual property. Clients receive a non-exclusive licence for business use.
14. Confidentiality
Both parties agree to keep confidential all non-public business information.
15. Data Protection
Personal data is processed in accordance with our Privacy Policy and Cookie Policy.
16. Limitation of Liability
Our total liability shall not exceed the fees paid for the relevant service.
17. Indemnity
Clients indemnify us against claims arising from inaccurate data or misuse of reports.
18. Suspension and Termination
We may suspend or terminate services for breach of this Agreement.
19. Force Majeure
We are not liable for delays caused by events beyond reasonable control.
20. Governing Law
This Agreement is governed by the laws of England and Wales.
